JSC Rustavi Azot, is committed to proactive and effective risk management to safeguard our operations and identify new business opportunities. Risk management supports both our long-term strategic goals and short-term operational objectives. The Board of Directors defines the company’s risk appetite across key risk categories, oversees the risk management framework, and conducts annual reviews of major risks and internal controls. The Executive Board implements the defined risk appetite, maintains an enterprise-wide risk management system, monitors top risks, and takes timely corrective actions. Regional and operational units act as risk owners, performing regular assessments to identify, evaluate, and manage risks that affect their business areas. The Enterprise Risk Management function facilitates risk management across the company, maintains an aggregated view of key exposures, and reports directly to the Chief Financial Officer. We follow a structured framework with clear policies and procedures, assessing each risk for likelihood and potential impact using qualitative and quantitative techniques. This approach allows us to identify and prioritize high-impact risks, implement mitigation strategies, and explore related business opportunities. Risk mitigation measures are evaluated based on control costs, potential impacts, and benefits. Residual risks are continuously monitored to ensure they remain at acceptable levels. The overall risk profile is reviewed at least annually, with updates whenever new risks or opportunities arise. Risk mitigation plans are updated quarterly and communicated to the Executive Board during business review meetings.
